RecruitifyHQ Terms of Use

These Terms of Use (“Terms”) govern access to and internal use of RecruitifyHQ, an internal business operating system provided by Recruitify LLC (“Recruitify,” “we,” “us,” or “our”).

RecruitifyHQ is an internal software application developed exclusively for Recruitify LLC. It is used only by Recruitify LLC and is not offered as a public software service.

Recruitify LLC personnel who access or use RecruitifyHQ agree to comply with these Terms and represent that they are authorized to use the application on behalf of Recruitify LLC.

1. Purpose of RecruitifyHQ

RecruitifyHQ supports Recruitify LLC’s recruiting workflows, candidate and search management, recruiter productivity, client relationships, business development, placements, financial reporting, and related business operations.

RecruitifyHQ is an internal business-management tool. It is not an applicant tracking system offered as a replacement for every external recruiting service, and it is not an accounting, tax, legal, investment, employment-law, or financial-advisory service.

2. Authorized Use

Authorized Recruitify LLC personnel may use RecruitifyHQ only:

- For lawful recruiting and business purposes.
- Within the authority granted by Recruitify LLC.
- In compliance with privacy, employment, recruiting, anti-discrimination, communications, recordkeeping, and other applicable laws.
- In accordance with the terms governing connected third-party services.

Authorized Recruitify LLC personnel are responsible for the accuracy, legality, and appropriateness of information they enter, access, or connect.

3. Prohibited Conduct

Authorized Recruitify LLC personnel may not:

- Access RecruitifyHQ without authorization.
- Attempt to bypass access, security, or usage controls.
- Introduce malware or interfere with application operation.
- Use RecruitifyHQ to violate privacy, employment, anti-discrimination, intellectual-property, or other laws.
- Enter information they do not have the legal right to process.
- Use information for unlawful surveillance, harassment, discrimination, spam, or deceptive conduct.
- Extract or disclose confidential information for an unauthorized purpose.
- Attempt to modify a connected third-party system through functionality designated as read-only.
- Reverse engineer or misuse RecruitifyHQ except where applicable law expressly permits it.

4. Access and Security

Authorized Recruitify LLC personnel are responsible for:

- Protecting their devices and account credentials.
- Maintaining the confidentiality of access tokens and integration credentials.
- Promptly reporting suspected unauthorized access.
- Disconnecting integrations when access is no longer appropriate.
- Ensuring that only authorized individuals can access RecruitifyHQ.

Authorized Recruitify LLC personnel are responsible for activity occurring through their authorized access unless caused directly by Recruitify LLC’s failure to use reasonable safeguards.

5. Recruiting Information

Recruiting decisions remain the responsibility of Recruitify LLC and its authorized recruiting personnel.

Scores, priorities, matches, recommendations, health indicators, financial estimates, and similar outputs are decision-support tools. They may be incomplete, inaccurate, or based on limited information. They must not be treated as guarantees or used as the sole basis for employment, compensation, legal, financial, or other consequential decisions.

Recruitify LLC personnel must independently evaluate candidates, searches, clients, communications, and opportunities.

6. QuickBooks Online

RecruitifyHQ may connect to QuickBooks Online after authorized Recruitify LLC personnel complete Intuit’s OAuth authorization process.

The QuickBooks integration is designed to retrieve accounting information on a read-only basis for financial summaries and business intelligence. RecruitifyHQ does not create, modify, or delete QuickBooks accounting records.

Financial information displayed by RecruitifyHQ may be delayed, incomplete, categorized differently from QuickBooks, or affected by third-party availability. QuickBooks remains the accounting system of record. Recruitify LLC must verify material financial information directly in QuickBooks and consult qualified accounting or tax professionals when appropriate.

Use of QuickBooks remains subject to Intuit’s applicable agreements and policies. RecruitifyHQ is not responsible for QuickBooks availability, API changes, account restrictions, or information maintained by Intuit.

7. Recruiterflow

RecruitifyHQ may retrieve information from Recruitify LLC’s authorized Recruiterflow account. The integration is intended to operate on a read-only basis and does not create, update, delete, archive, or move Recruiterflow production records.

Recruiterflow remains the system of record for information maintained there. Recruitify LLC personnel should verify material recruiting information before acting on it.

Use of Recruiterflow remains subject to Recruiterflow’s applicable terms and policies.

8. Third-Party Services

RecruitifyHQ may contain links to or integrations with independently operated services. Recruitify LLC’s use of those services is governed by their respective terms and privacy policies.

We do not control and are not responsible for:

- Third-party availability or security.
- Changes to third-party APIs or functionality.
- Errors, delays, or omissions in third-party data.
- Actions taken independently within a third-party account.
- Fees or restrictions imposed by a third-party provider.

Disconnecting an integration may limit related RecruitifyHQ functionality.

9. Ownership and License

RecruitifyHQ, including its software, interface, branding, organization, and original content, is owned by Recruitify LLC or its licensors and is protected by applicable intellectual-property laws.

Recruitify LLC grants authorized Recruitify LLC personnel a limited, revocable, non-exclusive, non-transferable right to use RecruitifyHQ for approved internal business purposes.

Recruitify LLC retains applicable rights in information lawfully entered into or accessed through RecruitifyHQ. Recruitify LLC may process that information as necessary to operate, protect, and improve RecruitifyHQ and fulfill authorized business purposes.

10. Confidentiality

RecruitifyHQ may contain confidential business, candidate, client, financial, and recruiting information.

Authorized Recruitify LLC personnel must protect that information, disclose it only for legitimate and authorized purposes, and comply with applicable confidentiality obligations. Access to RecruitifyHQ does not authorize unrestricted use or disclosure of its contents.

11. Data Availability and Backups

Recruitify LLC uses reasonable measures intended to protect application data and support recovery. However, no system is immune from hardware failure, browser failure, corruption, deletion, cyberattack, or interruption.

Authorized Recruitify LLC personnel should follow approved backup, export, device-security, and recovery procedures. Recruitify LLC does not guarantee that every record will always be available or recoverable.

12. Availability and Changes

RecruitifyHQ may occasionally be unavailable because of maintenance, updates, network failures, provider outages, security issues, or circumstances outside our control.

Recruitify LLC may modify or discontinue functionality when reasonably necessary for security, compliance, compatibility, or business operations. Recruitify LLC will use reasonable efforts to avoid unnecessary disruption or destructive changes to production records.

13. Disclaimer of Warranties

To the maximum extent permitted by law, RecruitifyHQ is provided “as is” and “as available.”

Recruitify LLC disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation.

We do not warrant that:

- Recommendations will produce placements or revenue.
- Candidate or search matches will be accurate.
- Financial projections will be achieved.
- Third-party information will be complete or current.
- The application will meet every legal, accounting, tax, or regulatory requirement applicable to a particular use.

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply.

RecruitifyHQ is an internal decision-support application. It provides recruiting workflow management, business intelligence, financial reporting, operational insights, candidate recommendations, prioritization, and productivity tools. RecruitifyHQ assists Recruitify LLC in organizing and evaluating information but does not make business, recruiting, hiring, financial, accounting, tax, legal, employment, or operational decisions. All such decisions remain solely the responsibility of Recruitify LLC.

14. Limitation of Liability

To the maximum extent permitted by law, Recruitify LLC and its owners, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost revenue, profits, placements, opportunities, goodwill, data, or business interruption arising from RecruitifyHQ.

Recruitify LLC’s total liability arising from RecruitifyHQ will not exceed the greater of:

1. The amount specifically attributable to access to RecruitifyHQ during the twelve months preceding the claim; or
2. One hundred U.S. dollars.

These limitations apply regardless of the legal theory asserted and even if a potential loss was foreseeable. They do not limit liability that cannot lawfully be excluded.

15. Indemnification

To the extent permitted by law, personnel using RecruitifyHQ agree to defend and indemnify Recruitify LLC against claims, losses, liabilities, and reasonable expenses arising from:

- Unlawful or unauthorized use of RecruitifyHQ.
- Information processed without appropriate authority.
- Violation of these Terms.
- Violation of another person’s privacy, employment, contractual, or intellectual-property rights.

This obligation does not apply to the extent a claim was caused by Recruitify LLC’s own unlawful conduct.

16. Suspension and Termination

Recruitify LLC may suspend or terminate access when reasonably necessary to:

- Protect RecruitifyHQ or its information.
- Respond to suspected unauthorized activity.
- Comply with law or third-party requirements.
- Address a material violation of these Terms.

Upon termination of access, the affected person must stop accessing RecruitifyHQ. Provisions concerning ownership, confidentiality, disclaimers, liability, and dispute resolution will survive.

17. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles.

Any dispute arising from these Terms or RecruitifyHQ will be brought in the state or federal courts located in Orange County, California, and each party consents to their jurisdiction, unless applicable law requires otherwise.

18. Changes to These Terms

Recruitify LLC may update these Terms to reflect changes to RecruitifyHQ, applicable law, third-party requirements, or business practices. Updated Terms will display a revised effective date.

Continued internal use after updated Terms take effect constitutes acceptance where permitted by law.
